Guidelines of Good Corporate Governance

In implementing the governance, the Company refers to the principles of Transparency, Accountability, Responsibility, Independence and Fairness.

• 1. Transparency is the transparency in the process of decision making and transparency in disclosing and providing relevant information about The Company, that is accessible by Stakeholders in accordance with the laws and regulations of financing and also the standard, principle, and the implementation of the healthy financing business operation.
  • PT Shinhan Indo Finance provides information in a timely, adequate, obvious, accurate and can be compared as well as easily accessible by related parties in accordance with their rights. Transparency principle adopted by the Company does not reduce the obligation to comply with the Company's confidentiality regulations according to the laws and regulations, office secret and personal rights. I addition, PT Shinhan Indo Finance will make a documentation to all decisions and ensure that each decision made has been in line with applicable policies and PT Shinhan Indo Finance assures the socialization of policies and procedures of decision making.

• 2. Accountability is the clarity of function and the implementation of the accountability of the Company's Organs so the Company can be running transparently, fairly, effectively and efficiently.
  • PT Shinhan Indo Finance determines the duties and responsibilities of Company's Organs and all levels clearly and in line with the vision, mission, business goals and strategy of the company, as well as ensure that all Company's Organs and staffs have competence in accordance with their duties, responsibilities and roles in implementing good corporate governance.

• 3. Responsibility is the conformity of Company's management with the laws and regulations in financing and ethics values, also the standard, principles and the practices of healthy financing business operation.
  • PT Shinhan Indo Finance is adhering to the principle of prudence and ensuring the compliance to Company's regulations, Articles of Association and the applicable laws and regulations, also the standard, principle and healthy business practices. This principle becomes the basis of Company's Organs in carrying out the operational activities of the Company which has been determined, also being responsible towards every action in those activities.

• 4. Independency is the Company's condition which is managed independently and professional also free from conflict of interest and influence or pressure from any party which does not comply with the laws and regulations ln financing and ethics values also the standard, principle and practice of healthy financing business operation.
  • Each Company's Organs must do its function and duties according to the Articles of Association and the laws and regulations, have mutual respect to the rights, obligations, duties, authorities and responsibilities of each other, and the decision is always made for Company's interest only. So that the effective internal control system can be realized.

• 5. Fairness is the equality, balance and justice in fulfilling the rights of the Stakeholders which arise based on the agreement, laws and regulations, and ethics values, also the standard, principle and practice of healthy financing business operation.
  • PT Shinhan Indo Finance provides equal and fair treatment to Stakeholders in fulfilling their rights according to the benefit and contribution given to the Company by keep considering the regulations in the Articles of Association and the applicable laws and regulations.
